Welcome to Legal Suvidha! These Terms and Conditions (“T&C”) govern the relationship between Legal Suvidha, connect.legalsuvidha.in (“we,” “us,” or “our”) and professionals onboarded to provide services (“you” or “the Professional”). By signing up or accepting an engagement, you agree to these terms.
1. Scope of Engagement
1.1 Nature of Engagement:
- You are engaged as an independent contractor and not an employee, partner, or agent of Legal Suvidha.
- The relationship is based on a project-specific or retainer model, as mutually agreed.
1.2 Exclusivity:
- You agree to provide services exclusively through Legal Suvidha for clients introduced by us.
- Any parallel engagement with the same clients without prior consent is prohibited.
1.3 Scope of Work:
- Your responsibilities will be defined in project-specific agreements.
- Any deviation from assigned tasks requires prior written approval.
2. Professional Conduct
2.1 Adherence to Ethical Guidelines:
- You shall comply with all applicable laws, ethical standards, and professional guidelines relevant to your expertise.
2.2 Representation of Legal Suvidha:
- You must not misrepresent yourself as an employee, partner, or legal representative of Legal Suvidha.
- All official communication with clients must be pre-approved by Legal Suvidha.
2.3 Use of Legal Suvidha Brand:
- You are prohibited from using our name, logo, or branding for personal or professional purposes without explicit written consent.
3. Confidentiality
3.1 Confidential Information:
- All information related to Legal Suvidha, its clients, and its operations is confidential.
- You must not disclose or use this information for any purpose outside the scope of your engagement.
3.2 Post-Term Confidentiality:
- Your confidentiality obligations continue indefinitely, even after termination of this agreement.
3.3 Data Handling:
- You must handle client data in compliance with applicable data protection laws, including the Indian IT Act and GDPR.
4. Intellectual Property (IP) Rights
4.1 Ownership of Deliverables:
- All deliverables, materials, or intellectual property created during your engagement belong exclusively to Legal Suvidha.
4.2 Prohibition of IP Misuse:
- You shall not reproduce, distribute, or claim ownership of any Legal Suvidha IP without prior written consent.
5. Non-Competition and Non-Solicitation
5.1 Non-Competition Clause:
- For a period of 3 years post-termination, you shall not provide similar services to clients introduced by Legal Suvidha.
5.2 Non-Solicitation of Clients:
- You must not directly or indirectly solicit, engage, or transact with Legal Suvidha’s clients without prior written approval.
5.3 Non-Solicitation of Employees:
- You are prohibited from soliciting or hiring Legal Suvidha employees, contractors, or affiliates.
6. Payment and Revenue Sharing
6.1 Fee Structure:
- Your compensation will be based on a revenue-sharing model, fixed fee, or as per specific agreements.
- Payments are subject to client satisfaction and receipt of payment from clients.
6.2 Payment Timelines:
- Payments will be processed within 30 days of project completion and receipt of payment from the client.
6.3 Penalties for Breach:
- Breach of these terms may result in forfeiture of pending payments and termination of engagement.
7. Liability and Indemnity
7.1 Liability for Errors:
- You are solely responsible for the quality and accuracy of your work.
- Any negligence resulting in financial or reputational loss to Legal Suvidha will make you liable for damages.
7.2 Indemnity:
- You agree to indemnify Legal Suvidha against all claims, losses, or damages arising from your actions or omissions.
8. Termination
8.1 Termination by Legal Suvidha:
- We may terminate your engagement immediately in the event of:
- Breach of these T&C.
- Unethical conduct.
- Misuse of the Legal Suvidha brand.
8.2 Termination by You:
- You may terminate this agreement by providing a 60-day written notice, provided no ongoing projects are pending.
9. Dispute Resolution
9.1 Arbitration:
- Any disputes will be resolved through arbitration, as per the Arbitration and Conciliation Act, 1996.
- The arbitrator will be mutually appointed, and the venue of arbitration shall be [insert city].
9.2 Jurisdiction:
- Courts in [insert city/state] shall have exclusive jurisdiction over any legal proceedings.
10. Data Privacy and Compliance
10.1 Data Protection:
- You must comply with data protection laws, including the Indian IT Act and GDPR.

- Client information must be used strictly for the purpose of the assigned project and not for personal gain.
11. Penalties for Misuse
11.1 Brand Misuse:
- Unauthorized use of the Legal Suvidha brand will attract a penalty of ₹50,00,000 or legal action.
11.2 Client Diversion:
- Any attempt to divert clients will result in a penalty of 5 times the diverted project value.
11.3 Fraud or Misconduct:
- Any fraudulent activity will lead to immediate termination and legal action.
12. Amendments
- Legal Suvidha reserves the right to amend these terms at any time.
- Changes will be communicated via email or updated on our website.
13. Force Majeure
- Neither party will be liable for delays or failures caused by unforeseen events like natural disasters, pandemics, or government restrictions.
14. Entire Agreement
- This document constitutes the entire agreement between Legal Suvidha and the Professional, superseding all prior communications.
